These Reseller Terms ("Terms") govern the relationship between you ("Reseller") and Oner Hosting, a division of Onerserv (Pty) Ltd ("Provider"). By becoming a reseller of our services, you agree to comply with and be bound by these Terms.
For the purposes of these Terms, the following definitions apply:
The Provider appoints the Reseller as a non-exclusive reseller of its Services. The Reseller is authorized to market and sell the Provider's Services under the terms outlined herein.

The Reseller agrees to pay all applicable fees for the Services as specified by the Provider. The Provider reserves the right to modify its fees at any time with prior notice to the Reseller. Payments are due upon receipt of the Provider's invoice.
This Agreement shall commence on the date of acceptance by the Reseller and continue until terminated by either party with 30 days' written notice. The Provider reserves the right to terminate this Agreement immediately for any breach by the Reseller.
The Reseller is granted a non-exclusive, non-transferable license to use the Provider's trademarks, logos, and marketing materials solely for the purpose of marketing and selling the Provider's Services. The Reseller agrees not to modify or misuse any of the Provider's intellectual property.
The Reseller agrees to maintain the confidentiality of all information provided by the Provider, including Customer data, pricing, and marketing strategies. This obligation shall survive the termination of this Agreement.
The Provider shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with these Terms or the use of the Services. The Provider's total liability to the Reseller for any claim arising out of or relating to these Terms shall not exceed the amount paid by the Reseller for the Services during the six months preceding the claim.
The Reseller agrees to indemnify and hold the Provider harmless from any claims, damages, liabilities, and expenses (including reasonable attorney's fees) arising out of or in connection with the Reseller's breach of these Terms or any act or omission of the Reseller or its Customers.
These Terms shall be governed by and construed in accordance with the laws of South Africa. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.
The Provider reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting on the Provider's website. The Reseller's continued use of the Services after any changes to these Terms constitutes acceptance of the new Terms.
